3. Fees and Payment
Payment terms will be specified in the project proposal. Typically, projects require an upfront deposit before work begins, with subsequent payments tied to project milestones. Final payment is due upon completion of the project, prior to the final delivery of the website or assets. All payments are non-refundable once work has commenced. Overdue invoices may incur a late fee.
4. Client Responsibilities
To ensure project success, the client agrees to provide all necessary information, content (text, images, branding assets), and feedback in a timely manner. Delays in providing these materials may impact the project timeline. The client is responsible for ensuring they have the legal rights and permissions to use all content provided to us.
5. Intellectual Property Rights
Upon final payment and project completion, Sam Webs grants the client full ownership and intellectual property rights for the final, delivered website code and design. We reserve the right to display the completed project in our portfolio, case studies, and on social media for marketing purposes, unless otherwise agreed upon in writing.
All pre-existing materials, tools, and code used by Sam Webs that are not part of the final, custom deliverable remain our property.
6. Confidentiality
Both Sam Webs and the client agree to keep all non-public information and materials exchanged during the project confidential. This includes business strategies, trade secrets, and proprietary information. This obligation of confidentiality extends beyond the completion of the project.
7. Website Use and Content
The content on the Sam Webs website, including text, graphics, logos, and case studies, is our property and is protected by copyright laws. You may not reproduce, distribute, or transmit any part of this website without our prior written consent.

8. Limitation of Liability

10. Termination
Either party may terminate a project agreement if the other party commits a material breach of these Terms and fails to remedy it within 14 days of written notice. Upon termination, the client is obligated to pay for all work completed up to the date of termination.
11. Governing Law
These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Sam Webs is legally established, without regard to its conflict of law provisions.
12. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide at least 30 days' notice before any new terms take effect. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
